Frequently Asked Questions 

How long change of ownership takes

The time needed to transfer ownership depends on the regulator, and specifically on whether it must approve the new owner before completion or only be notified afterwards. As an estimated guide:​

​

  • UK payment institutions and EMIs: the FCA must approve the new owners before completion, which typically takes about three months.

  • EU payment institutions and EMIs: the national regulator must approve the new owners before completion, which also typically takes about three months.

  • US money transmitters: each state must approve the new owners before completion, typically within two to four months, and the FinCEN registration is then updated.

  • Canadian MSBs: FINTRAC is notified after the transfer, so completion usually takes one to two weeks.

  • Australian remittance providers: AUSTRAC is notified after the transfer, so completion usually takes two to four weeks.

Can a foreign buyer own the company?

Yes. There is no nationality requirement for owners. Some jurisdictions require a resident director, and in those cases we provide one or confirm the director in place will remain.

What does the buyer need to provide?

For each director and significant owner: passport, proof of address, CV, a criminal record check from each country of residence in recent years, and evidence of the source of funds and wealth. For UK and EU authorised firms the regulator also expects a business plan, financial projections and a group structure chart. We prepare the full application pack.

Will the bank accounts remain open after the sale?

The accounts belong to the company, but banks carry out their own checks on new owners and can close accounts. We introduce you to the bank before completion, so account continuity is confirmed rather than assumed. Where needed, we arrange accounts with our Tier 1 banking partners.

What does the company cost to run after purchase?

A Canadian MSB needs a compliance officer, regular FINTRAC reporting and a programme review every two years. A UK authorised EMI must maintain its capital, safeguarding audits, FCA fees and a compliance team. We give buyers an itemised annual running cost for each company before they commit.

Is technology included?

Every company can be transferred with our proprietary payment platform, which we built and maintain in-house. It covers client onboarding, identity checks, transaction monitoring, payments and regulatory reporting, so you can launch without a separate technology build.
