The short answer

A payment licence consultant identifies which licence a payment business needs, then prepares and files the application and manages it to approval. In the UK that is usually authorised payment institution (API) authorisation or small payment institution (SPI) registration with the FCA; in Europe, a payment institution licence that passports across the EU. Buckingham Capital Consulting has obtained more than 250 licences since 2013.

What we do on a payment licence.

The first task on any payment licence is mapping what the business actually does against the regulated payment services, because the services decide the licence, the capital and the regulator fee. From there we prepare the full application and see it through to a decision.

  • Mapping your flows of funds against the regulated payment services, and confirming the licence in writing
  • The business plan and programme of operations, including agents and distributors where you use them
  • Financial forecasts, initial capital and the own funds calculation for the services you provide
  • Safeguarding of customer funds wherever the business holds them
  • The anti-money laundering and fraud framework, transaction monitoring and sanctions screening
  • Governance, key people and the forms for directors and shareholders of 10% or more
  • IT security, operational resilience, outsourcing and incident reporting
  • Submission, regulator questions and the conditions of approval

API, SPI, open banking or an EU licence.

In the UK, an authorised payment institution holds initial capital set by its services: €20,000 for money remittance, €50,000 for payment initiation and €125,000 for payment accounts and card acquiring. A small payment institution needs no initial capital, may handle up to €3 million of payment transactions a month and serves the UK only. Firms that only provide account information register as a registered account information service provider.

Businesses that serve European customers usually add a payment institution licence in an EU country and passport it across the Union. We compare the countries on capital, timing, local people and banking access, and recommend one route in writing.

How we work.

We run every payment licence as a project with five stages and one owner, so you always know what is due, from whom and by when.

  • Scoping: your services, customers, countries and volumes, confirmed against the licence in writing.
  • Plan: the document list, the information we need from you and the filing date.
  • Drafting: we write the application pack with your team and assemble the local team where the regulator requires it.
  • Filing: we submit and manage every regulator question until the decision.
  • Go-live: bank and safeguarding accounts, acquiring or processing, and compliance for the first year.

For planning, an authorised payment institution in the UK takes six to eight months from submission and a small payment institution three to four months. The FCA must decide within three months of a complete application.

For licensed payment firms.

Much of our payment work is for firms that already hold a licence and need to change it, grow it or keep it in good standing. The same team that obtains licences handles this work.

  • Moving from small payment institution to authorised payment institution
  • Variations of permission to add services such as payment initiation or account information
  • Change in control when investors or buyers take a stake of 10% or more
  • Bank and safeguarding accounts, acquiring and payment processing
  • Regulatory returns, safeguarding audits and compliance monitoring

Choosing a payment licence consultant.

The strongest indicator of how an application will go is how precisely the consultant maps your business to the payment services before drafting starts. These questions show quickly whether that work will be done properly.

  • Which payment services will we provide, and what capital does each one require?
  • Should we apply as an authorised or a small payment institution, and why?
  • Which payment licences have you obtained with this regulator recently?
  • Who drafts the pack and who manages the regulator's questions?
  • Can you arrange the bank and safeguarding accounts we need to launch?

Questions firms ask.

Should we apply as an authorised or a small payment institution?

A small payment institution suits a UK-only business that expects no more than €3 million of payment transactions a month and does not need open banking services. Above that, or to provide payment initiation or account information, a business applies as an authorised payment institution. We confirm the right route in writing before any drafting starts.

How long does a payment licence take?

In the UK, plan for six to eight months after submission for an authorised payment institution and three to four months for a small payment institution. The FCA must decide within three months of a complete application and within twelve months at most.

Can a small payment institution upgrade later?

Yes. A small payment institution that outgrows the €3 million monthly limit, or wants to add services, applies to the FCA for authorisation. We prepare the application, the capital plan and the safeguarding and governance documents the higher licence requires.

Do you obtain US money transmitter licences?

Yes. We prepare state money transmitter licence applications through the Nationwide Multistate Licensing System and FinCEN money services business registration, and provide an outsourced chief compliance officer and BSA officer for licensed money transmitters.

Do I need a consultant to apply?

No. The FCA accepts applications directly. Firms appoint a consultant to reduce the time and the risk of questions or refusal, and to have banking and safeguarding arranged before approval.

What do you need from us to start?

A description of the service and flows of funds, the countries and customers, expected monthly volumes, the owners and directors, and the funding available. We reply within three business hours and send a written proposal the same day.

How are your fees set?

We agree the fee for the scope in writing before work starts. Regulator fees and other third-party costs are shown separately.
